The terms on which Grand Freight X Solutions Co., Ltd. quotes for, books and performs freight services.

At a glance
We act for the carrier
GFX arranges carriage with airlines and shipping lines. The carrier performs it, and compensation for loss or damage is normally settled by the carrier. We help you prepare and submit the claim.
Freight is paid on time, claims run separately
Charges are due in full on the agreed terms, whether or not cargo is delayed, lost or damaged. A claim is handled as a separate matter and is never deducted from a GFX invoice.
We grow through partners, not around them
GFX never uses a partner’s shipment information to prospect, and never shares customer lists. Protected accounts stay protected, and any possible conflict is declared before anything else happens.
Thai law, TIFFA & TAFA terms
Business is done on the TIFFA & TAFA Standard Trading Conditions (1990 Edition) as adopted by GFX, under Thai law and the courts of Bangkok.

About these terms
Terms of QuotationClauses 2.1 and 2.2
All business with Grand Freight X Solutions Co., Ltd. ("GFX") is undertaken and performed subject to these Terms of Quotation and to the TIFFA & TAFA Standard Trading Conditions (1990 Edition) issued by the Thai International Freight Forwarders Association and the Thai Airfreight Forwarders Association ("the Conditions"), which GFX adopts and incorporates as its own standard terms of business. GFX is not a member of either association. Wherever the Conditions refer to the "Company" as a corporate member of those associations, that reference shall be read as a reference to GFX.
A copy of the Conditions is available on request. By requesting or accepting a quotation, making a booking, or tendering goods, the Customer confirms that it has access to the Conditions and these Terms, understands them, and agrees that they apply in full to the services quoted. Where these Terms and the Conditions differ, these Terms prevail.
Formation of contract
Quotations, booking confirmations, emails and other written communications stating rates and charges, together with the Customer's acceptance by email, by booking, or by tendering the goods, form a binding contract on these Terms and the Conditions.
Our role
GFX acts primarily as a service provider to freight forwarders and logistics companies. It works as a master loader for local forwarders, buying air freight and selling it on, and as an appointed agent for overseas partners, handling their Thailand nominations and supporting sea freight under partner contracts.
GFX does not build its business on direct approaches to shippers. Local business develops organically: GFX looks after its partners’ clients in Thailand and supports the growth that comes from those relationships. A nominated routing may in time become local business, where the supporting agent sees no negative impact.
Quotations and rates

Rates
All rates, costs and fees quoted are estimates based on carrier tariffs in force at the date of quotation. Validity depends on the quote type and is stated on each quotation, either as a fixed period or as valid until further notice. No quotation remains valid for more than 12 months from its date. Ocean and air freight are subject to the currency adjustment factor (CAF), bunker adjustment factor (BAF), local port charges and airline fuel and security surcharges prevailing at the time of shipment, as advised by the carrier, and may be adjusted if these change.
Charges not included
Unless specifically stated on the quotation, rates do not include origin or destination charges, customs examination fees, duties, taxes or other government charges, cargo insurance, detention, demurrage, or storage. Insurance is arranged only on the Customer's written instruction, and GFX recommends that all cargo be insured.
Space, equipment and weights
All quotations are subject to carrier space and equipment availability. Weights and dimensions are subject to carrier approval, and all quotations assume containers and packages are within legal weight limits.
Pick-up and delivery
Terms of QuotationClause 2.6
Unless otherwise stated, quoted rates are based on live loading and unloading at business premises with an available loading dock, within GFX's office hours of Monday to Friday, 9:00 to 18:00 (ICT). Collections and deliveries outside those hours can usually be arranged by prior agreement.
Collections and deliveries on weekends and public holidays are subject to overtime charges. Overtime charges may also apply on a normal working day where the time requested falls outside usual collection and delivery hours, for example very early in the morning or late in the evening. Any overtime charge is confirmed at the time of booking.
Waiting time is charged per additional hour at the quoted hourly rate or, if none was quoted, at the rate usual at the time. Any other additional service is charged separately.
Special cargo, compliance and sanctions

Special cargo
Quotations cover general cargo only. Dangerous goods, out-of-gauge or over-length cargo, on-deck cargo, perishable or temperature-controlled cargo, valuable cargo, and cargo unsuitable for standard 20' or 40' containers are quoted only on request.
Compliance and sanctions
The Customer warrants that the cargo and its transportation comply with all applicable laws, including trade sanctions, embargoes and export controls of the United Nations, the European Union, the United States and any other relevant country. The Customer shall provide all information required under marine safety regulations, including SOLAS verified gross mass, and shall inform GFX of any trademark, licence or other official restriction that may affect the shipment. The Customer shall defend, indemnify and hold GFX harmless against all liability, costs and legal fees arising from any breach, and GFX has no obligation to assist in remedying such a breach.
Uncollected or abandoned cargo
If cargo is uncollected or abandoned, all freight, terminal, warehousing, customs and return or disposal costs shall be paid by the party that contracted the service. The Customer, and the shipper and consignee named on any transport document, remain jointly liable for all such costs.

Liability depends on who performs the service and under which convention or conditions it is performed.

NoteSDR is the International Monetary Fund Special Drawing Right. Its value in baht changes daily. The Montreal Convention cargo limit rose from 22 to 26 SDR per kg on 28 December 2024 and is reviewed every five years, so this figure needs checking at each review.
Delay
GFX is not liable for delay of any kind or length unless a specific delivery date has been agreed in writing on the quotation at the Customer's request. Otherwise, all transit times and delivery dates are non-binding estimates and may change without notice.
GFX reviews the performance of selected carriers each month, and uses that record when recommending a routing. Where a Customer chooses a price-focused option, GFX will advise on the risk of delay that comes with it before the booking is made. Neither the monitoring nor any advice given changes the position on delay set out above.
Payment and claims
Terms of QuotationClause 2.10
This is the clause that matters most to both sides, so it is set out in full. In short: freight is payable on time whatever happens to the cargo, and a claim is a separate conversation.
Due date. Where no credit terms have been agreed in writing, all charges are payable in advance or before release of cargo or documents. Where credit terms have been agreed, charges are payable in full by the invoice due date.
Payment regardless of delay, loss or damage. Freight and all charges are earned when GFX receives the cargo or the carrier accepts it, and are payable in full whether or not the cargo arrives delayed, damaged, short, or not at all.
No set-off or withholding. The Customer shall not deduct from, set off against, withhold, or delay payment of any GFX invoice on account of any claim, counterclaim or dispute, whether actual or anticipated. A claim does not suspend or extend any payment due date.
Claims handled separately. Any claim for loss, damage or delay must be notified to GFX in writing within 14 days, as set out in the Conditions, and will be handled as a separate matter subject to the liability limits in the Conditions. As compensation is typically settled by the carrier, such as the airline or shipping line, rather than by GFX, GFX will assist the Customer in preparing and submitting a claim to the carrier concerned. Any compensation is settled separately from GFX’s invoice and never by deduction made by the Customer.
No pay-when-paid. The Customer's obligation to pay GFX is not conditional on the Customer receiving payment from its own client, shipper or consignee.
Late payment. Overdue amounts bear interest at 15% per annum until paid. GFX may exercise its lien over cargo and documents under the Conditions, suspend services or credit, and recover reasonable collection and legal costs.
Method of payment. Payment shall be made by bank transfer to GFX's nominated bank account in Thailand, in full and net of all bank charges. GFX will never change its bank details by email alone. Any notice of changed bank details must be confirmed by telephone with a known GFX contact before payment.

Partner Trust Charter

GFX acts as a wholesale partner. We quote to freight forwarders and overseas agents, and we do not approach the controlling party behind a partner’s shipment, meaning whoever controls the routing of that cargo. Where a local opportunity does arise from a nominated routing, it is agreed with the partner first, as set out in section 2. The rules below sit in the commercial model rather than in personal assurances, and they apply to every co-loader and every overseas agent, whatever the volume.
Protected accounts. A partner may register accounts as protected. GFX does not pursue a protected account.
We never prospect from your shipments. GFX does not use confidential co-loader or agent shipment information to find customers of its own.
Need-to-know data. Shipment information is anonymised unless the partner it belongs to has approved its use.
Intelligence, not leads. GFX shares market intelligence by lane, with the partner it concerns, and never broadcasts it. The intelligence supports the partner’s own sales development, and the partner owns the commercial pursuit.
No customer lists. GFX does not share customer lists, and does not offer artificial cargo swaps, guaranteed reciprocal tonnage, or unrestricted access to local commercial data, to anyone.
Conflicts are declared, not managed quietly. Where a possible channel conflict appears, GFX stops, declares it to the partners concerned, and agrees who owns the account before going any further.

Governing law

Any claim or dispute arising under or in connection with these Terms or the Conditions is governed by Thai law and subject to the exclusive jurisdiction of the courts of Bangkok.
